Most foreign companies do business in the Russian Federation (hereinafter RF) through their subdivisions (Representative offices or Branches). A Branch fulfils all the functions of a foreign legal entity or part of it, including functions of a Representative office, and is located away from the principal place of business of the company itself. FORMATION
Accreditation of a Branch of a foreign legal entity in RF takes place in the State Registration Chamber with the Ministry of Justice of the Russian Federation (hereinafter SRC). A Branch of a foreign legal entity may be opened only on the resolution of the accreditation authority.
PROCEDURE
Accreditation of a Branch in the territory of RF consists of several procedures:
- accreditation of a Branch in the State Registration Chamber;
- obtainment of documents of foreign entity’s Branch in the SRC;
- submission of documents for approval and affirmation of a stamp’s sketch of the Branch to the SRC and adding the sketch in the Stamp Registry;
- registration with the tax authority for the locality of the Branch;
- assignment of international economic activity codes;
- registration with non-budgetary funds (PFRF, SIF);
- opening of an account in a bank.
