Representative offices and Branches of foreign companies - liquidation
Accreditation of Representative offices is available for 1, 2, 3 years, of Branches also for 5 years. Duration of Branches and Representative offices is specified in the establishment permission. Activity of a Branch or Representative office in Russia may be terminated before expiry of accreditation by decision of a foreign legal entity. Foreign legal entity has to inform the Federal Budgetary Institution State Registration Chamber with the Ministry of Justice of the Russian Federation about such made decision. Subject to the received notification FBI SRC with the Ministry of Justice of the Russian Federation prepares formal notices of termination of activity of a Branch/Representative office for the tax, customs and migration authorities of the Russian Federation.
Upon the liquidation of a Branch or Representative office establishment permission and certificate of record in the Consolidated State Register of Representative Offices of Foreign Companies Accredited in the Territory of the Russian Federation are to be returned back to FBI SRC with the Ministry of Justice of the Russian Federation, and stamps are to be returned for destruction as well.
Accreditation cards are to be returned to FBI SRC with the Ministry of Justice of the Russian Federation.
Notices about termination of activity of a Branch/Representative office are drawn up within 18 days from the moment of presentation of a set of documents. If required the term may be reduced down to 5 days which is subject to additional fee.
PROCEDURE
Liquidation of a Branch or Representative office of a foreign company in the territory of RF consists of several steps:
• obtainment of a Certificate of termination of the Branch/Representative office from the SRC;
• notification of a tax office of termination of the Branch/Representative office;
• obtainment of an information notice about deregistration in the tax office for the locality of the Branch/Representative office;
• notification of the Federal State Statistics Service of termination of the Branch/Representative office and nullification of statistics codes;
• deregistration of the Branch/Representative office in non-budgetary funds of RF;
• submission of documents for destruction of a stamp of the Branch/Representative office to the SRC with destruction of a sketch in the Stamp Registry.
